Terms of Service
These Terms of Service (“Terms”) are an agreement between you and B & CR GROWTH PARTNERS, S.L. (“we”, “us”), the operator of Keyline, a customer relationship management service for real estate professionals available on the web and on mobile devices (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a brokerage or company, you confirm that you may bind it to these Terms.
1. Who may use Keyline
You must be at least 18 years old and use the Service for your professional activity, such as work as a real estate agent, broker, team member or assistant. The Service is a business tool; it is not offered to consumers for personal, family or household use. You are responsible for holding any license your work requires, including with the California Department of Real Estate (DRE). License information you add to your profile is self-reported and we do not verify it.
2. Your account
Give accurate information, keep your password confidential and tell us promptly at contact@carvexvs.com if you suspect unauthorized use. You are responsible for activity under your account. Each account is one person’s private workspace; do not share your login.
3. Early access and fees
Keyline is currently offered free of charge during an early access period, with all features included. Early access features may change, and the Service may have errors or interruptions. If we introduce paid plans, we will tell you at least 30 days in advance; nothing will be charged unless you choose a paid plan and accept its price.
4. Your content and your clients’ data
You keep all rights to the content you put into Keyline (“Your Content”), including information about your clients and contacts. You grant us a limited license to host, copy, process and display Your Content only to provide, secure and support the Service for you. Our Data Processing Addendum forms part of these Terms and governs how we process personal information about your clients on your behalf.
Because you decide what to record about other people, you are responsible for having the right to do so and for complying with the laws that apply to you, including:
- privacy laws such as the California Consumer Privacy Act, and honoring requests from your clients;
- the federal Fair Housing Act and California fair housing laws: do not record information about a person’s race, color, religion, sex, gender identity, sexual orientation, national origin, ancestry, familial status, disability, source of income or other protected characteristics, and do not use the Service to steer or discriminate;
- the Telephone Consumer Protection Act, the National and California Do Not Call rules and CAN-SPAM when you call, text or email from your device; Keyline only opens your phone or email app and does not send messages for you;
- DRE rules on advertising, record keeping and trust funds. Keyline is not your brokerage’s official transaction file or trust account record.
You can export or delete Your Content by request while your account is open; see the Privacy Policy.
5. Voice notes and AI drafts
Voice notes are transcribed and turned into draft records by automated systems, including third-party AI providers. Drafts can be wrong: names, dates, amounts and next steps must be checked before you save them. Nothing is saved until you confirm it, and you are responsible for what you save. Only record people when you are allowed to: California law requires the consent of everyone in a confidential conversation before recording it, so use voice notes to dictate your own summaries, not to record calls or meetings.
6. Acceptable use
Do not: break the law or help others to; upload content you have no right to use; send spam or unsolicited marketing from data in Keyline in breach of the law; try to access other users’ data, probe or break our security, or overload the Service; reverse engineer the Service except where the law allows it; resell or offer the Service to third parties without our written agreement; use automated means to extract data, other than the export we provide.
7. Our rights
The Service, its software, design, the Keyline name and logo and our content belong to us or our licensors and are protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable license to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.
8. Third-party services
The Service relies on third-party providers listed on our Subprocessors page and may open other apps on your device (phone, messages, email, maps). Those apps and services are governed by their own terms.
9. Changes, suspension and termination
We may change or discontinue features. We may suspend or close an account that breaches these Terms or creates a security or legal risk, with notice when reasonably possible. You may stop using the Service and ask us to close your account at any time. If we discontinue the Service, we will give you at least 30 days’ notice and a way to export Your Content. Sections 4, 7, 10, 11, 12 and 13 survive termination.
10. Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, ESPECIALLY DURING EARLY ACCESS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT AI DRAFTS WILL BE ACCURATE. KEYLINE DOES NOT PROVIDE LEGAL, TAX, FINANCIAL OR REAL ESTATE ADVICE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, COMMISSIONS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, AND OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND ONE HUNDRED U.S. DOLLARS (US$100). These limits do not apply to liability that cannot be limited by law, such as for fraud, gross negligence or willful misconduct.
12. Indemnity
You will defend and indemnify us against third-party claims arising from Your Content, your dealings with your clients, or your breach of these Terms or of the law, and pay the resulting damages and reasonable costs, provided we notify you promptly and let you control the defense.
13. Governing law and disputes
These Terms are governed by the laws of Spain, without regard to conflict of law rules. Before starting any claim, contact us so we can try to resolve it informally within 30 days. The courts of Seville, Spain, have jurisdiction, except that either party may seek urgent injunctive relief in any competent court. Nothing in this section removes rights you have under mandatory laws of your state of residence that cannot be waived by contract.
14. General
We may update these Terms; material changes will be announced by email or in the app at least 30 days before they take effect, and continuing to use the Service afterwards means you accept them. These Terms, the Privacy Policy and the Data Processing Addendum are the entire agreement between us about the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business. Notices to us go to contact@carvexvs.com; notices to you go to your account email. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are written in English; any translation is for convenience and the English version prevails.
